تعتبر الثقة والائتمان مقومان اساسيان تقوم عليهما المعاملات التجارية كما يميزانها عن بقية المعاملات المدنية، لذلك كان من الأهمية بمكان ان يدعم القانون التجاري الائتمان عن طريق الزيادة في ضمانات الدائن التجاري، وتوقيع جزاءات صارمة على من يخل به وذلك بإقرار الإفلاس كنظام يقوم على تصفية أموال التاجر المتوقف عن الدفع تصفية جماعية وتوزيع ناتج هذه التصفية على الدائنين كل بنسبة ماله من حق قبل المدين.
والافلاس هو الحالة القانونية التي ينتهي اليها التاجر المتوقف عن الدفع ديونه، او هو طريق للتنفيذ الجماعي على أموال المدين التاجر الذي يتوقف عن دفع ديونه.
